BEHIND THE WHEEL SKILLS, LLC

 1. ACCEPTANCE OF TERMS AND CONDITIONS

BEHIND THE WHEEL SKILLS, LLC provides a collection of online resources, including driver training courses and material (referred to hereafter as "the Service"). The Service will be available to the SUBSCRIBERs 24 hours a day, 7 days a week. This availability may be affected by circumstances such as, but not limited to: system, site or connectivity failure over which the BEHIND THE WHEEL SKILLS, LLC has no control. Subscription to the Services subjects the SUBSCRIBER to the following Terms of Use ("TOU"). By using the Service in any way, you are agreeing to comply with the TOU. In addition, when using particular BEHIND THE WHEEL SKILLS, LLC services, you agree to abide by any applicable posted guidelines for all BEHIND THE WHEEL SKILLS, LLC services, which may change from time to time. Should you object to any term or condition of the TOU, any guidelines, or any subsequent modifications thereto or become dissatisfied with BEHIND THE WHEEL SKILLS, LLC in any way, your only recourse is to immediately discontinue use of BEHIND THE WHEEL SKILLS, LLC. BEHIND THE WHEEL SKILLS, LLC has the right, but is not obligated, to strictly enforce the TOU through self-help, active investigation, litigation, and prosecution.

2. MODIFICATIONS TO THIS AGREEMENT 

We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. 3. HARDWARE AND SOFTWARE

4. THIRD PARTY CONTENT, SITES, AND SERVICES 

The BEHIND THE WHEEL SKILLS, LLC site and content available through the Service may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of BEHIND THE WHEEL SKILLS, LLC, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.  

Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties.  

You agree that BEHIND THE WHEEL SKILLS, LLC shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that BEHIND THE WHEEL SKILLS, LLC is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release BEHIND THE WHEEL SKILLS, LLC, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. 

5. COMPLETION AND CERTIFICATION POLICY 

The SUBSCRIBER agrees to complete all phases of the course in order to receive a completion certificate. The SUBSCRIBER agrees that he/she, and not any other person, will study the material in its entirety and complete the module quizzes and the final exam. It is illegal to attempt to circumvent this course or provide false information. If the BEHIND THE WHEEL SKILLS, LLC discovers that the SUBSCRIBER has willfully misrepresented himself or has cheated, the SUBSCRIBER’s access to the course material will be terminated and SUBSCRIBER will forfeit its right to certification with no refund of any fees. The SUBSCRIBER will have ____ days to compete the Services and successfully pass the courses certification test.

Data Collection

BEHIND THE WHEEL SKILLS, LLC undertakes to collect Your Data by means that are:

• fair;
• legal; and
• transparent.

If you visit BEHIND THE WHEEL SKILLS, LLC's web-site, your web-browser automatically discloses, and BEHIND THE WHEEL SKILLS, LLC's web-server automatically logs, the following information: the date and time, the IP address from which you issued the request, the type of browser and operating system you are using, the URL of any page that referred you to the page, the URL you requested, and whether your request was successful. This data may or may not be sufficient to identify you.

Any additional data that you provide, e.g. in a web-form, may also be logged. This data may or may not be sufficient to identify you.

BEHIND THE WHEEL SKILLS, LLC undertakes to store Your Data in a manner that ensures security against unauthorized access, alteration or deletion, at a level commensurate with its sensitivity.

BEHIND THE WHEEL SKILLS, LLC undertakes to store Your Data only in jurisdictions where data protections are at least equivalent to those required under the OECD Guidelines.

BEHIND THE WHEEL SKILLS, LLC undertakes to transmit Your Data in a manner that ensures security against unauthorized access, alteration or deletion, at a level commensurate with its sensitivity.

Data Use

Use refers to the application of Your Data by any part of BEHIND THE WHEEL SKILLS, LLC, or any staff-member or contractor of BEHIND THE WHEEL SKILLS, LLC in the course of their work.

BEHIND THE WHEEL SKILLS, LLC undertakes to use Your Data only for:

• the purposes for which it was collected;
• such other purposes as are subsequently agreed between BEHIND THE WHEEL SKILLS, LLC and You;
• such additional purposes as may be required by law. In these circumstances, BEHIND THE WHEEL SKILLS, LLC will take any reasonable steps available to it to communicate to You that the use has occurred, unless it is precluded from doing so by law; and
• such additional purposes as are authorized by law (in particular to protect BEHIND THE WHEEL SKILLS, LLC's interests, e.g. if it believes on reasonable grounds that You have failed to fulfill your undertakings to BEHIND THE WHEEL SKILLS, LLC or have committed a breach of the criminal law).

BEHIND THE WHEEL SKILLS, LLC undertakes to use YourData only if it has demonstrable relevance to the particular use to which it is being put.

BEHIND THE WHEEL SKILLS, LLC undertakes to use YourData in such a manner as to take into account the possibility that it is not of sufficient quality for the purpose, e.g. because it is inaccurate, out-of-date, incomplete, or out-of-context.

Data Disclosure

Disclosure refers to making YourData available to any party other than BEHIND THE WHEEL SKILLS, LLC and You. The term disclosure may include many different conditions of data transfer, including selling, renting, trading, sharing and giving.

BEHIND THE WHEEL SKILLS, LLC undertakes to disclose Your Data only under the following circumstances:

• in the course of business being conducted between You and BEHIND THE WHEEL SKILLS, LLC, where disclosure is necessary to a contractor, such as a transport company. Where Your Data is disclosed in this way, BEHIND THE WHEEL SKILLS, LLC undertakes to exercise control over BEHIND THE WHEEL SKILLS, LLC's contractors to ensure that their actions are compliant with these Terms;

• in other circumstances that are directly implied by the purpose agreed between You and BEHIND THE WHEEL SKILLS, LLC at the time of data collection or subsequently. Where Your Data is disclosed in this way, BEHIND THE WHEEL SKILLS, LLC undertakes to exercise control over BEHIND THE WHEEL SKILLS, LLC's contractors to ensure that their actions are compliant with these Terms;

• with your consent, or at your request;

·        where required by law, such as a provision of a statute, or a court order such as a search warrant or subpoena. In these circumstances, BEHIND THE WHEEL SKILLS, LLC will take any reasonable steps available to it to communicate to You that the disclosure has occurred, unless it is precluded from doing so by law;

• where permitted by law (e.g. the reporting of suspected breach of the criminal law to a law enforcement agency; and in an emergency, where BEHIND THE WHEEL SKILLS, LLC believes on reasonable grounds that the disclosure of YourData will materially assist in the protection of the life of health of some person), provided that BEHIND THE WHEEL SKILLS, LLC will apply due diligence to ensure that the exercise of the permission is justifiable.

In all cases, BEHIND THE WHEEL SKILLS, LLC undertakes to disclose only such of Your Data as is necessary in the particular circumstances.

Data Retention and Destruction

Subject to the qualifications immediately below, BEHIND THE WHEEL SKILLS, LLC undertakes:

• to retain Your Data only as long as is consistent with its purpose; and
• to destroy Your Data when its purpose has expired, and to do so in such a manner that Your Data is not subsequently capable of being recovered.

This undertaking is qualified as follows:

• Your Data may be retained in BEHIND THE WHEEL SKILLS, LLC's logs, backups and audit trails within short-term retention cycles that are devised to protect the company's operations. In such cases, Your Data will be destroyed in accordance with those cycles;
• Your Data may be retained beyond the expiry of its purpose if that is required by law, such as a provision of a statute, or a court order such as a search warrant or subpoena, or a warning by a law enforcement agency that delivery of a court order is imminent. In these circumstances, BEHIND THE WHEEL SKILLS, LLC:

• will take any reasonable steps available to it to communicate to You that Your Data is being retained, unless it is precluded from doing so by law; and
• will only retain Your Data while that provision is current, and will then destroy Your Data;

• Your Data may be retained beyond the expiry of its purpose if it is authorized by law (in particular to protect BEHIND THE WHEEL SKILLS, LLC's interests, e.g. if it believes on reasonable grounds that You have failed to fulfill your undertakings to BEHIND THE WHEEL SKILLS, LLC or have committed a breach of the criminal law). In these circumstances, BEHIND THE WHEEL SKILLS, LLC will only retain Your Data while that situation is current, and will then destroy Your Data.

Access by You to Your Personal Data

BEHIND THE WHEEL SKILLS, LLC undertakes to provide you with access to Your Data, subject to only such conditions and processes as are reasonable in the circumstances. In particular, BEHIND THE WHEEL SKILLS, LLC undertakes to enable access:

• conveniently;
• without unreasonable delay; and
• without cost.

BEHIND THE WHEEL SKILLS, LLC undertakes to establish and operate identity authentication protections for access to Your Data that are appropriate to its sensitivity, but practical. This may involve some inconvenience; for example, relatively straightforward procedures may be involved in order to provide you with access through a channel that you have previously registered with BEHIND THE WHEEL SKILLS, LLC (such as a particular email-address), but may impose more onerous procedures if you wish to use some other channel.

In the event that you dispute some aspect of Your Data, BEHIND THE WHEEL SKILLS, LLC undertakes to take reasonable steps in relation to the amendment, supplementation or deletion of Your Data.

You undertake:

• not to seek access for frivolous purposes, or unreasonably frequently;
• to accept that deletion of some data may not be consistent with the provision of particular services by BEHIND THE WHEEL SKILLS, LLC to you.

Information about Data-Handling Practices

BEHIND THE WHEEL SKILLS, LLC undertakes to make information available to you about the manner in which BEHIND THE WHEEL SKILLS, LLC handles your data:

• in general terms, in a readily accessible manner; and
• in more specific terms, on request.

Where Your Data is disclosed to a contractor, BEHIND THE WHEEL SKILLS, LLC undertakes to make information available to you on request about the manner in which BEHIND THE WHEEL SKILLS, LLC's contractors handle your data.

BEHIND THE WHEEL SKILLS, LLC undertakes to ensure that the information provided is meaningful, and addresses your concerns.

You undertake:

• not to seek such information for frivolous purposes, or unreasonably frequently; and
• to accept that the disclosure of excessive detail may harm the security of Your Data and BEHIND THE WHEEL SKILLS, LLC's business processes, and may harm BEHIND THE WHEEL SKILLS, LLC's commercial interests.

Handling of Enquiries, General Concerns and Complaints

If you have enquiries, general concerns, or complaints about these Terms, or about BEHIND THE WHEEL SKILLS, LLC's behavior in relation to these Terms, you undertake:

• to communicate them in the first instance:
• to BEHIND THE WHEEL SKILLS, LLC only;
•  in sufficient detail;
• through a channel made available by BEHIND THE WHEEL SKILLS, LLC for that purpose;

BEHIND THE WHEEL SKILLS, LLC undertakes:

• to provide one or more channels for communications to BEHIND THE WHEEL SKILLS, LLC, which are convenient to users;
• to promptly provide acknowledgement of the receipt of communications, including the provision of a copy of the communication, the date and time it was registered, and BEHIND THE WHEEL SKILLS, LLC's reference-code for the communication;
• to promptly provide a response to the communication, in an appropriate and meaningful manner.

You further undertake to not pursue BEHIND THE WHEEL SKILLS, LLC through any Regulator or the media:

• until and unless BEHIND THE WHEEL SKILLS, LLC has had a reasonable opportunity to respond to the initial communication; and
• while BEHIND THE WHEEL SKILLS, LLC and you remain are conducting a meaningful dialogue about the matter.

Enforcement

BEHIND THE WHEEL SKILLS, LLC declares that its undertakings in these Terms are intended to create legal obligations, and that those obligations are intended to be enforceable under appropriate laws in appropriate jurisdictions. These include laws relating to data protection, privacy, fair trading, corporations and criminal laws.

You undertake to seek enforcement only in a jurisdiction that is relevant to the transactions that have taken place between You and BEHIND THE WHEEL SKILLS, LLC, in particular the jurisdiction in which you live or in which you performed the relevant acts, and the jurisdiction in which BEHIND THE WHEEL SKILLS, LLC is domiciled or performed the relevant acts.

Changes to These Privacy Undertakings

BEHIND THE WHEEL SKILLS, LLC undertakes:

• not to materially change these Terms in a manner that reduces the protections for Your Data;
• to take all possible steps to prevent any company that acquires this company or any of its relevant assets from materially changing the Terms applicable to Your Data in a manner that reduces the protections for Your Data;
• where it is considering making changes to these Terms, or creating more specific Terms relating to specific services, to consult with appropriate representative and advocacy organizations;
• where it makes changes to these Terms, to ensure that the differences between successive versions are readily accessible;
• to maintain all prior versions of these Terms in such a manner that they are dated, and readily accessible.

7. REPRESENTATIONS AND WARRANTIES SUBSCRIBER represents and warrants that the user information and registration information provided by Subsciber is true and correct, and acknowledges that the truth and accuracy of such information is a material inducement to Behind The Wheel Skills, LLC in permitting Subsciber to enroll in the course. Subsciber further acknowledges and agrees that any willful or intentional misrepresentation by Subsciber regarding such user information or registration information constitutes a breach of this agreement and of the representations and warranties by Subsciber as provided in this agreement, and may subject Subsciber to liability for damages incurred by Behind The Wheel Skills, LLC as a result thereof, including but not limited to general, consequential, and punitive damages. 

8. LIMITATIONS ON SERVICE You acknowledge that BEHIND THE WHEEL SKILLS, LLC may establish limits concerning use of the Service. You agree that BEHIND THE WHEEL SKILLS, LLC has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Service. You acknowledge that BEHIND THE WHEEL SKILLS, LLC reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that BEHIND THE WHEEL SKILLS, LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. 

9. ACCESS TO THE SERVICE SUBSCIBER is granted a limited, personal, non-assignable, non-transferable and non-exclusive right and license to use the Services and Information hereunder, as long as SUBSCIBER complies with the terms herein or until the BEHIND THE WHEEL SKILLS, LLC terminates SUBSCIBER’s access rights. SUBSCIBER may use the Information solely for taking the driver training courses. SUBSCIBER agrees that he or she will not (nor allow any third party to) (i) resell, redistribute, broadcast or transfer the Information or use the Information in a searchable, machine-readable database or file; (ii) remove, alter or obscure any copyright, legal or proprietary notices in or on any portions of the COURSE; or (iii) use the Information for any purpose other than for taking the driver training coursee. SUBSCIBER further agrees to use the COURSE for lawful purposes only. Use of the Service beyond the scope of authorized access granted to you by BEHIND THE WHEEL SKILLS, LLC immediately terminates said permission or license.  

10. TERMINATION OF SERVICE You agree that BEHIND THE WHEEL SKILLS, LLC, in its sole discretion, has the right (but not the obligation) to terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any content within the Service, for any reason, including, without limitation, if BEHIND THE WHEEL SKILLS, LLC believes that you have acted inconsistently with the TOU. Further, you agree that BEHIND THE WHEEL SKILLS, LLC shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination. All fees paid will be non-refundable in the event that Content is removed from the Service for violating the TOU. 

11. PROPRIETARY RIGHTS The Service, including all the software text, course materials, graphics, logos, photographs, graphs, sounds, data, video, images, audio, software, and the arrangement and compilation of this information (collectively, the “Information”) is the valuable exclusive property of the BEHIND THE WHEEL SKILLS, LLC and is protected to the maximum extent permitted by copyright laws and international treaties. Content displayed on or through the Service is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the site or the collective work, and/or copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of BEHIND THE WHEEL SKILLS, LLC.

You further agree not to copy, reproduce, modify, create derivative works from, distribute, or publicly display any content from the Information or Service without the express written consent of BEHIND THE WHEEL SKILLS, LLC, and agree to abide by any and all copyright notices displayed by BEHIND THE WHEEL SKILLS, LLC. You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the website or Information. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Information of Service. Ownership of the Service and/or Information shall remain at all times with the BEHIND THE WHEEL SKILLS, LLC or its licensors.

12. LIABILITY

UNDER NO CIRCUMSTANCES SHALL BEHIND THE WHEEL SKILLS, LLC BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF BEHIND THE WHEEL SKILLS, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE, FROM INABILITY TO USE THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE OR ANY LINKS ON THE BEHIND THE WHEEL SKILLS, LLC SITE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE OR ANY LINKS ON THE BEHIND THE WHEEL SKILLS, LLC SITE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitation may not apply to you.

You will defend and hold harmless the BEHIND THE WHEEL SKILLS, LLC, its subsidiaries, licensors, affiliates and its and their officers, directors, employees, affiliates, agents, representatives or subcontractors, for any against all claims or demands, including reasonable attorney’s fees, arising from or related to SUBSCIBER’s access, connection to, or use of, or SUBSCIBER’s inability to use, access or connect to the COURSE, or SUBSCIBER’s violation of these terms.

Regardless of the previous paragraphs, if we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total fees you paid for the Services, or (b) $100.

13. DISCLAIMER OF WARRANTIES YOU AGREE THAT USE OF THE BEHIND THE WHEEL SKILLS, LLC SITE AND THE SERVICE IS ENTIRELY AT YOUR OWN RISK. THE BEHIND THE WHEEL SKILLS, LLC SITE AND THE SERVICE ARE PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, BEHIND THE WHEEL SKILLS, LLC DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE BEHIND THE WHEEL SKILLS, LLC SITE AND THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, BEHIND THE WHEEL SKILLS, LLC DISCLAIMS ANY WARRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SITES OR SERVICE, OR ACCESSED THROUGH ANY LINKS ON THE BEHIND THE WHEEL SKILLS, LLC SITE. TO THE FULLEST EXTENT PERMITTED BY LAW, BEHIND THE WHEEL SKILLS, LLC DISCLAIMS ANY WARRANTIES FOR VIRUSES OR OTHER HARMFUL COMPONENT IN CONNECTION WITH THE BEHIND THE WHEEL SKILLS, LLC SITE OR THE SERVICE. 

Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, some of the foregoing disclaimers may not apply to you insofar as they relate to implied warranties.

14. RESOLUTION OF DISPUTES
